Terms & Conditions
1. Acceptance of Quotation
1.1. By paying a deposit, you agree to be bound by these Terms & Conditions, even in the absence of a signed acceptance form.
1.2. A binding contract is formed upon:
- Written acceptance of a quotation or contract; or
- Payment of a deposit and/or issued invoice.
2. Payment Terms
2.1. A 50% deposit is required upon acceptance of the quotation. No equipment will be ordered, and no works will commence until this deposit has been received.
2.2. The remaining balance is payable immediately upon completion of the works.
2.3. Credit facilities are not available unless agreed in writing prior to quote acceptance. Failure to pay on time may result in:
- Removal of installed equipment with no refund of the deposit.
- Suspension or disabling of system functionality until payment is received.
2.4. All prices quoted are exclusive of VAT, unless stated otherwise.
2.5. We will require confirmation of billing contact details at the quote acceptance stage.
3. Site Access & Safety
3.1. For safety, engineers may restrict access through gates while works are ongoing. If engineers are required to stop work or move equipment to allow access, additional charges may apply.
3.2. The customer is responsible for ensuring safe and unrestricted access to the site. If working conditions are deemed unsafe or not compliant with Health & Safety regulations, work may be postponed and a call-out fee charged.
3.3. While we aim to minimise downtime during installation, maintenance, or upgrades, Patron Security does not guarantee uninterrupted system operation and is not liable for downtime during works.
3.4. In circumstances where gates are delivered to site and/or existing gates are removed and the site is left unsecured overnight, Patron Security accepts no responsibility or liability for any theft, loss or damage arising during the period in which the site is unsecured.
4. Travel and Access Charges
4.1. Any applicable congestion charges, tolls, ULEZ, TFL or parking charges will be added to the customer’s invoice.
4.2. If no suitable parking is provided and a parking fine is incurred, the cost of the fine will be the responsibility of the customer.
5. Communication and Site Contact
5.1. A single point of contact must be provided for all approvals, call-outs, and communication.
5.2. For commercial or multi-occupancy sites, we will only liaise with the designated contact unless otherwise agreed.
6. Service Requirements
6.1. Texecom Cloud users require annual servicing.
6.2. Southern Monitoring clients require two services per year.
6.3. All remaining systems require annual servicing in order to extend product warranties.
7. Pre-existing Installations and Repairs
7.1. When conducting repairs or replacing equipment, if the existing cabinet is in poor condition, Patron Security is not liable for any equipment failure caused by the existing installation or due to the age of the system.
7.2. The cost of any replacement parts or equipment in such cases will be charged additionally to the customer.
8. Gate Automation and Equipment Limitations
8.1. Gate automation key fobs have a standard range of up to 10 metres. If you require operation beyond this distance, a high gain aerial will need to be installed at an additional charge.
8.2. Key fob range may be affected by overhead cabling, trainlines, radio towers or other technology using the same frequencies.
8.3. All natural products, including those containing natural elements such as bamboo, may expand or contract with temperature or humidity changes, sometimes resulting in twisting. Only the manufacturer’s product warranty applies in such cases, though Patron Security will assist where possible.
9. Measurements, Surveys and Hidden Defects
9.1. Patron Security shall not be held liable for errors or inaccuracies in measurements of gates supplied by the customer. Any additional costs incurred due to incorrect measurements will be charged to the customer.
9.2. Quotations based on a site survey are based on a non-intrusive visual assessment. Hidden defects, cabling issues or intermittent faults may not be identified at this stage.
9.3. If unforeseen issues arise once works commence, additional charges may apply to rectify them. We cannot be held responsible for issues not reasonably detectable during the initial survey.
10. Maintenance and Warranty Eligibility
10.1. Once the quoted works have been completed, only the parts supplied and installed by Patron Security will be covered under any maintenance contract or warranty.
10.2. Existing or pre-installed equipment will be treated separately.
11. Variations and Additional Works
11.1. Any work not included in the original quotation will be treated as a variation.
11.2. We are not liable for issues arising from pre-existing wiring, systems or infrastructure not installed by us. Any rectification of such issues will be treated as a variation.
11.3. All variations will be charged additionally.
12. Cancellations & Termination
12.1. Charges for cancellations may include:
- Restocking fees where applicable.
- Payment in full for custom-made or bespoke items as these are non-refundable.
- Additional charges for cancellations within 5 working days of the scheduled start date.
12.2. We reserve the right to refuse service or terminate the contract without refund in the event of:
- Abusive behaviour toward staff.
- Unsafe or unreasonable working conditions.
13. Limitation of Liability
13.1. Patron Security shall not be liable for any indirect, incidental, special, or consequential losses, including but not limited to loss of profit, business interruption, or loss of data, arising out of or in connection with the supply, installation, or use of any equipment.
13.2. Our total liability, whether in contract, tort (including negligence), or otherwise, shall not exceed the total price paid for the goods or services under the specific contract in question.
13.3. Nothing in these Terms limits liability for death or personal injury caused by our negligence or fraud.
14. Force Majeure
Patron Security shall not be liable for any delay or failure to perform its obligations where such delay or failure is due to causes beyond its reasonable control, including but not limited to supplier delays, adverse weather, transport issues, strikes, pandemics, or acts of God.
15. Data Protection
Patron Security complies with all applicable data protection laws. Customer information will be used solely for the purposes of fulfilling contracts, managing accounts, and providing aftercare services. Data will not be shared with third parties except where required by law or necessary to fulfil contractual obligations.
16. Governing Law & Disputes
These Terms & Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Both parties agree to attempt resolution through good faith negotiation before pursuing legal action.
